Terms of Service
01Acceptance of these Terms
These Terms of Service (the “Terms”) govern your access to and use of Needlebird (the “Service”), operated by Didactic Initiatives LLC, a California limited liability company (“Needlebird,” “we,” or “us”). By creating an account, signing in, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms, and “you” refers to that business.
02Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at hello@needlebird.com if you suspect unauthorized access.
03The Service
Needlebird is a multi-tenant booking platform for local beauty and wellness businesses. We provide tools for scheduling, client management, communications, and related operational workflows. We may add, change, or remove features over time.
04Communications
By creating an account, you agree to receive transactional communications from us — including account, security, billing, and service-related emails and, where you have provided a phone number, text messages such as appointment reminders and confirmations. These communications are necessary to operate the Service; you may stop them by closing your account or, for SMS, by replying STOP.
You may also opt in to optional marketing or promotional communications, which you can unsubscribe from at any time using the link in each message or by contacting us. We deliver email through third-party service providers.
05SMS messaging program
Needlebird sends transactional SMS related to your appointments and account — including appointment confirmations, reminders, schedule changes, and security or account notifications. We do not send marketing or promotional SMS.
How you opt in. Tenant staff and admins opt in by providing a phone number when creating an account or in account settings. End clients opt in through the booking business that uses Needlebird; that business is responsible for obtaining valid consent before submitting a phone number to the Service.
Message frequency. Message frequency varies based on your appointment activity.
HELP and STOP. Reply HELP for assistance, or contact hello@needlebird.com. Reply STOP to opt out of SMS at any time; you will receive a single confirmation message and no further SMS.
Rates and carriers. Message and data rates may apply. Message delivery is subject to your mobile carrier’s coverage and conditions; carriers are not liable for delayed or undelivered messages. The Service is compatible with most major U.S. carriers, including AT&T, T-Mobile, and Verizon.
Privacy. Phone numbers and SMS opt-in data are handled in accordance with our Privacy Policy. No mobile information — including phone numbers and SMS opt-in data — is shared with third parties or affiliates for marketing or promotional purposes.
06Your content & client data
You retain all rights in the data and content you submit to the Service, including end-client booking records (“Customer Data”). You grant us a limited, worldwide, royalty-free license to host, process, and display Customer Data solely to provide and improve the Service.
You are the controller of Customer Data; we act as your processor. You are responsible for ensuring you have the rights and disclosures necessary to provide Customer Data to us.
Where Customer Data includes end-client phone numbers, you represent and warrant that you have obtained valid consent from each end client before adding their phone number to the Service for the purpose of receiving SMS appointment reminders, confirmations, and related transactional messages, in compliance with the Telephone Consumer Protection Act (TCPA), the CTIA Messaging Principles and Best Practices, and applicable carrier requirements.
07Fees & billing
Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with at least 30 days’ notice; changes do not affect the current billing period. Payment processing is handled by a third-party payment provider, and your payment is also subject to that provider’s terms.
08Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Send unsolicited communications, spam, or content that is unlawful, harassing, or fraudulent.
- Interfere with the Service’s integrity, attempt to bypass access controls, or scrape data without permission.
- Reverse engineer, copy, or create derivative works of the Service.
09Termination
You may close your account at any time. We may suspend or terminate your access if you breach these Terms or if continued service would expose us to legal or security risk. On termination we will, on request and within 30 days, provide a reasonable export of your Customer Data, after which we may delete it.
10Warranties & disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
12Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or in the Service. The “Effective” date above always reflects the latest version. Continued use after a change constitutes acceptance.
13Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in California, and you consent to that jurisdiction and venue.
